Terms of Service

1. Who we are

These Terms of Service ("Terms") govern your access to and use of www.homewisers.com and the HomeWisers product and related digital properties (the "Service"), operated by Private Mode Social, LLC ("HomeWisers," "we," "us"). HomeWisers is a software product and set of templates with an AI assistant that helps self-managing residential landlords organize records, track deadlines, and prepare the facts for their own document workflows. It does not itself create, assemble, or finalize the legal documents that are served on a tenant. By using the Service or purchasing the product, you agree to these Terms.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use HomeWisers. If you use the Service on behalf of a business or other entity, you represent that you are authorized to bind that entity, and "you" includes that entity.

3. What HomeWisers is — and isn't

HomeWisers is a self-help record-keeping, deadline-tracking, and organization tool. It is not a law firm, accounting firm, real-estate brokerage, or financial institution, and it does not provide legal, tax, financial, or real-estate advice. It does not draft, assemble, or finalize legal instruments — such as tenant notices, demand letters, security-deposit statements, leases, or eviction paperwork; those are produced by you through a third-party legal document service or a licensed attorney. Using HomeWisers does not create an attorney–client, accountant–client, or fiduciary relationship. You are responsible for obtaining independent professional review before relying on any document, figure, or deadline.

4. License to use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use your own installed copy of HomeWisers for managing property you own or are authorized to manage. You may not resell, redistribute, sublicense, publicly share, reverse-engineer, or create derivative works from the product, its skill files, or its templates, except as expressly permitted.

5. Intellectual property

HomeWisers — including its software, skill files, templates, text, design, and the "HomeWisers" and "Private Mode Social" names and logos — is owned by Private Mode Social, LLC and protected by intellectual-property laws. Except for the limited license in Section 4, we grant you no rights in it. If you send us feedback, suggestions, or ideas, you grant us a perpetual, worldwide, royalty-free license to use them for any purpose, with no obligation to you.

6. AI-generated content and research

HomeWisers uses AI, including automated research of publicly available sources, and its research and generated documents may be incomplete, out of date, or incorrect. You must independently verify every rule, deadline, form, and figure before relying on it. Human review is required before you send or act on anything the Service produces.

7. Your responsibilities and acceptable use

You are the author and sender of every document you produce with HomeWisers, and you are solely responsible for its accuracy, its timing, and its compliance with all applicable laws — including your state and local landlord–tenant law and all federal, state, and local fair-housing laws. You will not use the Service to harass anyone, to discriminate unlawfully, to generate fraudulent documents, or in any unlawful manner.

8. Indemnification

You will defend, indemnify, and hold harmless Private Mode Social, LLC and its owners, members, contractors, and agents from and against any claims, damages, losses, liabilities, penalties, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) any document, notice, or communication you create, send, or rely on; (c) your violation of these Terms or of any law, including landlord–tenant and fair-housing laws; or (d) your infringement of any third party's rights. We may assume the exclusive defense and control of any matter subject to indemnification, and you will cooperate with us.

9. No money handling

HomeWisers does not collect rent, hold funds, process payments between you and third parties, or move money. It will never ask you to share bank credentials. Any payment, banking, or screening functionality you reach through a third-party integration is governed by that provider's terms.

10. Third-party platforms and referral links

The Service runs on and connects to external platforms — including the AI platform on which the product is installed (e.g., Anthropic's Claude), your email and calendar providers, our payment processor, and our hosting and email vendors. We disclaim responsibility for third-party changes, outages, pricing, or actions, and your use of those platforms is governed by their own terms.

HomeWisers may refer you to third-party legal document services or other providers (for example, LawDepot) so you can produce documents we do not create. Some of these are affiliate or referral relationships, which means we may earn a commission if you purchase through our link, at no extra cost to you. These referrals are options, not requirements or endorsements of suitability for your situation — you are free to use any provider or your own attorney, and your dealings with any third-party provider, including any document they produce, are solely between you and that provider under its terms.

11. Disclaimer of warranties

Property, financial, legal, and operational outcomes depend on many factors outside our control. We make no guarantee that using HomeWisers will produce any particular result, savings, or compliance outcome. The Service is provided "as is" and "as available," and we disclaim all warranties to the fullest extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement.

12. Purchases, refunds, and chargebacks

Prices, product contents, and availability may change. Because HomeWisers is a digital product delivered to you immediately, all sales are final and we do not offer refunds once your purchase is complete and access or delivery has been provided — except where a refund is required by applicable law, or where you did not receive the product or received a defective product. If you have a billing concern — a charge in error, non-delivery, or a defect — contact help@homewisers.com and we will work with you to make it right.

Please contact us before disputing a charge with your bank or card issuer. Initiating a chargeback or payment dispute without first contacting us is a breach of these Terms; we reserve the right to contest it and to suspend or terminate your access.

13. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the twelve (12) months preceding the claim, and we are not liable for any indirect, incidental, consequential, or punitive damages — including lost profits, lost rent, penalties, or legal costs.

14. Dispute resolution — arbitration and class-action waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Except for matters that qualify for small-claims court and requests for injunctive relief, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, rather than in court, and judgment on the award may be entered in any court with jurisdiction. The arbitrator — and not any court — has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of it is void or voidable.

Fees: each party is responsible for its own attorneys' fees and costs, and the filing, administrative, and arbitrator fees will be allocated as provided by the AAA Consumer Arbitration Rules.

Class-action waiver: you and we agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding, and the arbitrator may not consolidate more than one person's claims. You may opt out of this Section 14 by emailing connect@homewisers.com within 30 days of your first purchase. If the class-action waiver is found unenforceable as to a particular claim, that waiver will be severed only as to that claim, and the remainder of this Section — including the agreement to resolve all other disputes by binding individual arbitration — will remain in full force; any claim on which the waiver is severed will proceed in the courts identified in Section 15. If any other part of this Section is found unenforceable, it will be severed and the remainder enforced.

15. Governing law and venue

These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-laws principles. The parties will attempt to resolve any dispute through good-faith negotiation for 30 days; thereafter, for any dispute not subject to arbitration under Section 14, the exclusive jurisdiction and venue is the state and federal courts located in Polk County, Iowa.

16. Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms, misuse the Service, or engage in fraud or a bad-faith payment dispute. You may stop using the Service at any time. Provisions that by their nature should survive termination — including Intellectual Property, Indemnification, Disclaimer of Warranties, Limitation of Liability, Dispute Resolution, and Governing Law — survive.

17. Electronic communications and notices

You consent to receive communications and these Terms electronically, and you agree that electronic communications satisfy any legal requirement that a communication be in writing. Legal notices to us should be sent to connect@homewisers.com and, where a mailing address is required, to Private Mode Social, LLC, 4200 University Blvd, Suite 426, West Des Moines, IA 50266.

18. Changes to the Terms and the Service

The version of these Terms you actively accept at checkout — by checking "I agree to the Terms" — governs your purchase. We may update these Terms going forward. For material changes, we will provide reasonable notice and, where the change would apply to you, present the revised Terms and ask you to actively accept them (for example, by a click-through acceptance) before the change binds you; we will not treat your silence alone as acceptance of a material change. Non-material updates (such as clarifications or contact-detail changes) take effect when posted with a new effective date. We may also modify, suspend, or discontinue the Service or any feature at any time.

19. General terms

These Terms, together with our Privacy Policy and Cookie Policy (which are incorporated by reference), are the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them, including in connection with a merger, acquisition, or sale of our assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
